Terms of Service

1. Acceptance of Terms

By accessing or using Wellthrive's website, applications, or related services (the "Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. These Terms apply together with our Privacy Policy, Consumer Health Data Privacy Policy, EULA, Health Disclosure, Disclosures, Cookie Policy, and Rewards Terms.

2. Description of Service

Wellthrive provides wellness and nutrition education, organization, and information tools. The Service is provided for general informational and wellness purposes only. It is not a medical device and does not provide medical diagnosis, treatment, clinical decision support, lab interpretation, or medication or supplement action, and it is not a substitute for professional medical advice. 3. Eligibility

The Service is intended for adults. You must be at least 18 years old to create an account or use the Service. By using the Service, you represent that you are 18 years of age or older.

4. User Accounts and Registration

You may need to register an account to use certain features. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You agree to provide accurate information and to keep it up to date.

5. Subscriptions

Premium features may require an App Store or Google Play subscription. Access is provided only after purchase verification and entitlement processing. Billing, renewals, refunds, and cancellations for subscriptions purchased through these platforms are governed by their respective terms.

6. User Conduct

You agree not to:

• Use the Service in violation of any applicable law or regulation.
• Interfere with, disrupt, or attempt to gain unauthorized access to the Service.
• Submit false, misleading, or infringing content.
• Use the Service to harass, harm, or impersonate others.

7. Your Content and Content License

You may submit content to the Service, such as meals and nutrition entries, supplement logs, wellness profile information, and values from any health or lab report you choose to upload ("Your Content"). You retain ownership of Your Content. You grant Wellthrive a limited, non-exclusive license to host, store, process, and display Your Content solely to provide, maintain, secure, troubleshoot, and improve the Service for you. We do not use Your Content for advertising and we do not sell it. We do not grant broad sublicenses to Your Content, except to service providers acting on Wellthrive's written instructions to operate the Service. This license ends when Your Content is deleted, subject to backup-restoration windows and legal or security retention. Our handling of Your Content is governed by our Privacy Policy and Consumer Health Data Privacy Policy.

8. Intellectual Property

The Service, including all software, content, design, trademarks, and related materials, is owned by Wellthrive Inc. or its licensors and is protected by applicable intellectual-property laws. You receive a limited, non-transferable, revocable right to use the Service for personal, non-commercial purposes.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. Wellthrive does not warrant that the Service will be uninterrupted, error-free, or secure.

10. Limitation of Liability

To the maximum extent permitted by law, Wellthrive Inc. and its affiliates will not be liable for indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising out of or related to your use of the Service.

11. Indemnification

To the maximum extent permitted by law, you agree to indemnify and hold harmless Wellthrive Inc. and its affiliates from claims, damages, liabilities, and expenses arising out of your misuse of the Service, your violation of these Terms, or your violation of any applicable law or the rights of a third party.

12. Termination

We may suspend or terminate your access to the Service if you violate these Terms or where necessary to protect the Service or other users. You may stop using the Service and delete your account at any time; see Account Deletion. Sections that by their nature should survive termination, including intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution, will survive.

13. Dispute Resolution and Governing Law

For users in the United States or asserting a claim under United States law, dispute resolution and arbitration are governed by Section 11A of our EULA, which is incorporated into these Terms by reference. The EULA is available for you to review before you accept these Terms. For users outside the United States, these Terms are governed by the laws applicable to Wellthrive Inc. in the Republic of Korea, subject to the mandatory consumer-protection laws of your country of residence.

For U.S. users, these Terms and the Service are governed by the substantive laws of the State of California, without regard to conflict-of-laws rules and subject to the mandatory consumer-protection laws of your state of residence. If Wellthrive forms a U.S. entity or establishes a principal place of business or operating nexus elsewhere, the governing-law and forum provisions will be conformed to that nexus and these Terms updated accordingly.

14. App Store Terms

If you download our application from the Apple App Store or Google Play, additional app-store terms apply. The Apple- and Google-specific terms, including required end-user license terms, third-party-beneficiary provisions, and store billing, refund, and support allocations, are set out in our EULA. These Terms summarize and cross-reference those terms; for app-store matters, the EULA and the applicable app store's terms control.

15. Conflict Order

If there is a conflict among Wellthrive user agreements, the document that governs the specific subject matter controls: the Privacy Policy and Consumer Health Data Privacy Policy control data collection, use, disclosure, retention, deletion, and privacy rights; the EULA controls app license, app-store, device, and dispute-resolution terms; these Terms control general use of the website, applications, and services; and Rewards Terms control rewards mechanics, subject at all times to the Privacy Policy, Health Disclosure, Disclosures, and mandatory law. This order resolves direct conflicts only and does not reduce any non-waivable consumer, privacy, app-store, or health-data right.

16. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated through the Service or via email where appropriate. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
